Please read these terms carefully before using Zagely. By accessing or using our platform, you agree to be bound by the following terms.

Acceptance of Terms

By registering for, accessing, or using the Zagely platform ("Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity. If you do not have such authority, or if you do not agree with these Terms, you must not accept them and may not use the Service.

You must be at least 18 years old to use this Service. By using it, you confirm you meet this age requirement.

Description of Services

Zagely is a unified multi-channel business communication SaaS platform enabling businesses to connect with customers via WhatsApp, Telegram, Email, Web Push, Viber, Messenger, Discord, and other channels through a single interface.

Our Service includes, but is not limited to:

  • Bulk messaging campaigns and scheduled broadcasts
  • Multi-channel inbox and real-time conversation management
  • Contact management, segmentation, and CSV import/export
  • Automation rules, keyword triggers, and AI-assisted responses
  • Analytics, delivery tracking, and campaign reporting
  • RESTful API access and outgoing webhooks
  • WhatsApp session management via the Zagely Gateway

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

Account Registration & Security

To access the Service, you must register for an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your credentials.

You agree to:

  • Notify us immediately of any unauthorized use of your account
  • Keep your password secure and not share it with third parties
  • Enable two-factor authentication (2FA) where available
  • Ensure all team members added to your account comply with these Terms
  • Take full responsibility for all activity under your account

We reserve the right to suspend or terminate accounts that exhibit suspicious activity, violate these Terms, or pose a security risk to our platform or other users.

Subscriptions & Billing

The Service is offered under subscription plans as published on our pricing page. All fees are in USD unless stated otherwise.

💳 Payment

Payments are processed securely via Stripe. By subscribing, you authorize recurring charges to your payment method.

🔄 Renewal

Subscriptions renew automatically at the end of each billing cycle. You may cancel anytime to prevent renewal.

🔄 Refunds

We offer a 7-day refund window for annual plans. Monthly plans are non-refundable after the billing date.

📈 Upgrades

Plan upgrades are prorated immediately. Downgrades take effect at the start of the next billing cycle.

We reserve the right to modify pricing with 30-day advance notice. Continued use after the notice period constitutes acceptance of new pricing.

Acceptable Use Policy

You agree NOT to use the Service to:

  • Send unsolicited bulk messages (spam) or messages to users who have not opted-in
  • Distribute phishing, fraudulent, misleading, or deceptive content
  • Send content promoting illegal activities, violence, hate speech, or adult material
  • Violate WhatsApp Business Policy, Meta's Terms, or any platform-specific guidelines
  • Harvest, scrape, or collect contact information without consent
  • Impersonate any person, organization, or brand
  • Attempt to reverse-engineer, hack, or disrupt the platform infrastructure
  • Circumvent or abuse platform rate limits, throttling, or usage quotas
  • Use the Service for surveillance, stalking, or targeting individuals without consent
  • Zagely platform provides automation tools, but we are not responsible for WhatsApp numbers being blocked due to spam or violating WhatsApp policies.

Violation of this policy may result in immediate suspension or permanent termination of your account without refund.

Messaging & Third-Party Platform Policies

Zagely operates as a communication intermediary. Your use of messaging channels is subject to the terms and policies of those platforms in addition to these Terms.

You are solely responsible for ensuring your messaging campaigns comply with all applicable third-party platform policies, including opt-in requirements, content restrictions, and message templates. Zagely is not liable for account bans or restrictions imposed by third-party platforms.

Data & Privacy

Your privacy is important to us. Our collection and use of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Regarding tenant data:

  • You own all contact data and message content you upload or generate through the Service
  • We process your data only to provide and improve the Service, as described in the Privacy Policy
  • WhatsApp session credentials are stored encrypted using AES-256 encryption
  • You are the data controller for your contacts; Zagely acts as a data processor
  • Data stored in the platform is logically isolated per tenant via our multi-tenancy architecture

Upon account termination, your data will be retained for 30 days before being permanently deleted, unless required by law.

Intellectual Property

The Zagely platform, including its source code, design, trademarks, logos, and all related documentation, is the intellectual property of Zagely and is protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the Service during your active subscription. This license does not include the right to:

  • Copy, reproduce, or redistribute any part of the platform
  • Create derivative works based on the platform
  • Reverse engineer or decompile any software components
  • Use Zagely trademarks or branding without written permission

You retain all ownership rights in your content (messages, contacts, templates) uploaded to or created within the platform.

Service Availability & SLA

We strive to maintain 99.9% platform uptime. Scheduled maintenance windows will be announced at least 24 hours in advance via email and in-app notifications.

The Service may be temporarily unavailable due to:

  • Scheduled maintenance
  • Emergency infrastructure updates
  • Events beyond our reasonable control (third-party outages, natural disasters, etc.)
  • Security patches and critical updates

We do not guarantee the availability or functionality of third-party messaging platforms (WhatsApp, Telegram, etc.) and are not liable for their downtime or policy changes.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZAGELY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

In all cases, our aggregate liability to you for any claim shall not exceed the total amount you paid to us in the 3 months preceding the claim.

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

Termination

Either party may terminate the agreement at any time. You may cancel your account via the billing settings. We may suspend or terminate your account:

  • For violation of these Terms or the Acceptable Use Policy
  • Upon non-payment after a 7-day grace period
  • If required by law or regulatory authority
  • If your continued use poses a risk to other users or the platform

Upon termination, your access to the Service will cease immediately. Provisions regarding intellectual property, limitation of liability, and governing law shall survive termination.

Governing Law & Disputes

These Terms shall be governed by and construed in accordance with applicable international commercial law. Any disputes shall first be attempted to be resolved through good-faith negotiation.

If a dispute cannot be resolved informally, it shall be submitted to binding arbitration. Class action lawsuits and jury trials are waived to the fullest extent permitted by law.

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the use of the Service must be filed within one (1) year after such claim or cause of action arose.

Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by:

  • Sending an email to your registered address
  • Posting a prominent notice in the platform dashboard
  • Updating the "Last Updated" date at the top of this page

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the new Terms.
